Abstrakt

There are two main goals of this thesis: first, to analyze in depth and with great care the actual spin-off process and, to recognize its strengths and weaknesses in order to show how to implement it properly and second to verify the potential for a spin-off as well as the legal framework surrounding the process within the Polish market. The hypothesis are: 1) The Polish market constitutes a potential market for the spin-off process. 2) There is no legal framework concerning the spin-off process in Poland – which is a niche. The first chapter of this work is devoted to the general topic of strategies used by companies. It defines a basic knowledge about the way that companies increase their value and, it acts as an introduction to the rest of the paper. The second chapter encompasses an accurate analysis of the actual spin-off process. It outlines the main steps of the process and recommendations, as well as profits that the process brings. It constitutes the basis for the research described in the final chapter. The final chapter concentrates in full on the Polish market and the spin-off potential that the market holds. It includes research performed on a sample of Polish companies and it investigates if they are viable candidates for the spin-off process. It also includes information about the legal framework concerning the spin-off process within the Polish market. This chapter verifies the hypothesis generated at the beginning of the analysis.
