Abstrakt
Celem artykułu jest analiza metod likwidacji masy upadłości w przepisach prawa upadłościowego poprzez porównanie sprzedaży w drodze przetargu lub aukcji oraz sprzedaży z wolnej ręki. W perspektywie przedstawiono również zastosowanie poszczególnych metod jako narzędzia umożliwiającego syndykowi efektywne spieniężenie majątku upadłego celem skutecznego zaspokojenia interesu wierzycieli. Autorzy omawiają różnice proceduralne pomiędzy poszczególnymi trybami, podkreślając wysoki stopień sformalizowania przetargu, jego transparentność oraz nadzorczą rolę sędziego-komisarza, w przeciwieństwie do bardziej elastycznej, lecz mniej konkurencyjnej sprzedaży z wolnej ręki.
W opracowaniu poświęcono również uwagę zagadnieniu znaczenia cyfryzacji postępowania poprzez funkcjonowanie Krajowego Rejestru Zadłużonych, wskazując również na problemy techniczne występujące w praktyce działania systemu. Ponadto, istotną część stanowi analiza skutków prawnych sprzedaży upadłościowej, w szczególności wygaśnięcia obciążeń, co ma zasadnicze znaczenie z punktu widzenia interesu nabywcy. Omówione zostały także zagadnienia dotyczące kwestii podatkowych i ustawowe prawa pierwokupu. W konkluzji wskazano, że wybór trybu sprzedaży powinien uwzględniać zarówno efektywność zaspokojenia wierzycieli, jak i bezpieczeństwo prawne nabywców.
The purpose of the article is to analyze the methods of liquidation of the bankruptcy estate under Polish bankruptcy law by comparing sale by tender or auction with sale by private negotiation. The article also presents the application of these methods as instruments enabling the trustee in bankruptcy to effectively monetise the debtor’s assets in order to satisfy creditors’ claims. The authors examine the procedural differences between the respective modes of sale, emphasising the high degree of formalisation of tender proceedings, their transparency, and the supervisory role of the judge-commissioner, as opposed to the more flexible, yet less competitive, private sale procedure. The study further addresses the significance of the digitalisation of insolvency proceedings through the operation of the National Register of Debtors, while also identifying technical issues arising in the functioning of the system. An important part of the analysis concerns the legal effects of bankruptcy sales, in particular the extinguishment of encumbrances, which is of fundamental importance from the purchaser’s perspective. The article also discusses tax implications and statutory preemptive rights. In conclusion, it is argued that the choice of the method of sale should take into account both the efficiency of creditor satisfaction and the legal security of purchasers.
