Tokenizacja dzieł sztuki (RWA) w polskim systemie prawnym: bariery własnościowe i regulacyjne w kontekście MiCA oraz doświadczeń rynkowych

Abstract

Artykuł analizuje bariery prawne tokenizacji realnych aktywów sztuki (RWA) w Polsce. Główną przeszkodą jest Kodeks cywilny, który nie przewiduje cyfrowego, masowego frakcjonowania własności rzeczy ruchomych z publicznym rejestrem legitymacyjnym. Drugim istotnym problemem pozostaje opóźnienie we wdrożeniu rozporządzenia MiCA. Ustawa krajowa została dwukrotnie zawetowana przez prezydenta Karola Nawrockiego (grudzień 2025 i 12 lutego 2026) i na dzień 27 marca 2026 r. nadal nie obowiązuje. Porównanie z rozwiązaniami Niemiec (eWpG) i Francji (Loi PACTE oraz późniejsze adaptacje) pokazuje, że tokenizacja dzieł sztuki funkcjonuje tam od kilku lat. Na podstawie analizy regulacyjnej, orzecznictwa oraz praktyki wdrożeniowej z lat 2021-2025 autorzy proponują nowelizację Kodeksu cywilnego, utworzenie dedykowanego rejestru DLT oraz uproszczenia regulacyjne dla aktywów kultury. Tokenizacja dzieł sztuki (RWA) może znacząco zwiększyć płynność na rynku sztuki, dostępność małych inwestorów oraz umożliwić efektywne, automatyczne rozliczanie droit de suite – pod warunkiem usunięcia obecnych blokad prawnych i regulacyjnych.

The article analyses the legal barriers to the tokenization of real-world art assets (RWA) in Poland. The primary obstacle is the Civil Code, which does not provide for the digital, mass fractionalization of ownership of movable property supported by a public legitimizing register. A second significant issue remains the delay in implementing the MiCA Regulation. The national implementing act was vetoed twice by President Karol Nawrocki (December 2025 and 12 February 2026) and, as of 27 March 2026, has still not entered into force. A comparison with the solutions adopted in Germany (eWpG) and France (Loi PACTE and subsequent adaptations) demonstrates that the tokenization of artworks has been functioning there for several years. Based on regulatory analysis, case law, and implementation practice from 2021–2025, the authors propose an amendment to the Civil Code, the creation of a dedicated DLT register, and regulatory simplifications for cultural assets. Tokenization of artworks (RWA) can significantly increase liquidity in the art market, improve accessibility for small investors, and enable the efficient, automatic settlement of droit de suite – provided the existing legal and regulatory barriers are removed.
